Terms of Service

RiskBlue Terms of Service (Version 1.0)

RiskBlue is a product operated by RiskClock Inc.

Note: This Terms of Service applies specifically to RiskBlue Version 1.0 and does not apply to Version 2.0 or any future versions of the Service.

1. Acceptance of Terms

By accessing or using the RiskBlue software-as-a-service platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

2. Description of Service

RiskBlue provides tools for risk discovery, mitigation planning, workflow automation, and related analytics for construction and insurance stakeholders. The Service is delivered as a cloud-based SaaS platform.

3. Customer Data

3.1 Ownership

You retain full ownership of all data, files, documentation, or content you upload or submit (“Customer Data”). RiskClock Inc. does not claim any ownership rights over Customer Data.

3.2 Data Usage

We use Customer Data solely to:

  • Provide and maintain the Service

  • Improve core platform functionality

  • Support analytics and aggregated insights that do not identify you or your projects

3.3 Data Sharing

We do not sell, rent, or share Customer Data with third parties. The only exception is:

  • If you explicitly trigger a feature that shares a specific control, insight, or mitigation recommendation with a partner or stakeholder (e.g., by pressing "Share", “Send”, or “Export")

No other data is shared.

4. Data Security

RiskBlue is hosted on a third-party cloud application platform whose infrastructure is SOC 2 Type II certified for security. This certification applies to the underlying hosting environment, network controls, physical security, and platform-level operational processes.

However, this infrastructure certification does not make RiskClock Inc. or the RiskBlue application itself SOC 2 compliant. You acknowledge and agree that:

  • RiskClock Inc. has not completed a SOC 2 audit for the RiskBlue application or its internal policies.

  • The platform’s SOC 2 certification applies only to foundational infrastructure controls managed by the platform provider.

  • RiskClock Inc. implements commercially reasonable security practices within the capabilities provided by the hosting platform.

  • You are responsible for ensuring that your use of RiskBlue aligns with your own compliance and regulatory requirements.

RiskClock Inc. cannot guarantee protections beyond what the certified hosting infrastructure and our implemented controls provide.

5. Confidentiality

RiskClock Inc. will treat all Customer Data as confidential and will not disclose it except:

  • To provide the Service

  • As required by law, subpoena, or court order

6. User Responsibilities

You agree to:

  • Use the Service in compliance with all applicable laws

  • Not attempt to access systems or data outside your authorized scope

  • Maintain the confidentiality of your login credentials

  • Avoid uploading sensitive personal information unless required for your use case

7. Service Availability & Updates

RiskClock Inc. strives to maintain high service uptime but does not guarantee uninterrupted access. We may modify, update, or discontinue parts of the Service at any time, including beta or experimental features.

8. Payment Terms

Paid plans and subscriptions are billed according to the pricing provided in a separate order form or online purchasing flow. Fees are non-refundable unless otherwise stated.

9. Limitation of Liability

To the fullest extent permitted by law:

  • RiskClock Inc. is not liable for indirect, incidental, or consequential damages

  • Total liability for any claim is limited to the amount you paid for the Service in the 12 months preceding the claim

RiskClock Inc. provides the Service “as is” without warranties of any kind, express or implied.

10. Termination

You may stop using the Service at any time. RiskClock Inc. may suspend or terminate access if:

  • You violate these Terms

  • Payment obligations are not met

  • Use of the Service poses security, operational, or legal risks

Upon termination, Customer Data may be deleted after a retention period of 30 days.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, unless otherwise agreed in writing.
